TERMS OF SERVICE

These Terms of Service ("Terms") govern all courier, pickup, and delivery services ("Services") provided by ARC LLC ("Company," "we," "us," or "our") to any individual or business ("Customer," "you") that requests, books, or pays for Services. By requesting a quote, scheduling a pickup, or paying an invoice for our Services, you agree to be bound by these Terms.
1. SERVICES
We provide courier and delivery services including, but not limited to, standard delivery, rush/expedited delivery, and optional add-on services such as photo confirmation and signature-on-delivery, as selected and priced at the time of booking.
2. QUOTES AND PRICING
Quotes provided by phone, text, email, or through our booking platform are estimates based on the information you provide (pickup/drop-off location, package size/weight, and requested service level). Final pricing on your invoice may differ from an initial estimate if the actual details of the shipment differ from what was described, and will reflect all applicable base fees, add-on charges (e.g., rush service, photo confirmation, signature on delivery), and taxes.
3. PAYMENT TERMS
- Payment is due upon receipt of invoice unless other arrangements (such as a recurring billing schedule) have been agreed to in writing.
- We accept payment via the methods made available on your invoice, which may include credit/debit card and ACH bank transfer.
- For recurring service arrangements, you authorize us to automatically charge your saved payment method on the agreed schedule until you cancel in writing.
- Failed or returned payments (including declined cards or returned ACH transfers) may result in additional fees charged by our payment processor, which may be passed on to you, and may result in suspension of future service until resolved.
4. CUSTOMER RESPONSIBILITIES
You are responsible for:
- Providing accurate pickup and delivery addresses, contact information, and package details.
- Ensuring the item(s) being shipped are properly packaged to withstand normal handling and transport.
- Ensuring someone is reasonably available to receive the delivery, or providing clear delivery instructions if a signature is not required.
- Disclosing whether an item is fragile, perishable, or requires special handling prior to pickup.
5. PROHIBITED ITEMS
You agree not to tender for shipment any item that is illegal to possess or transport, hazardous or flammable material, or any item explicitly excluded under our then-current prohibited items policy. We reserve the right to refuse, suspend, or cancel any shipment we reasonably believe violates this section.
6. LIMITATION OF LIABILITY
Except as required by applicable law, our liability for any loss, damage, or delay to a shipment is limited to the lesser of (a) the actual value of the item(s) being shipped, or (b) [DOLLAR AMOUNT, e.g., $100] per shipment, unless you have purchased additional declared-value coverage at the time of booking. We are not liable for indirect, incidental, or consequential damages, including but not limited to lost business, lost profits, or reputational harm, arising from a delayed, lost, or damaged shipment.
We are not responsible for delays caused by circumstances outside our reasonable control, including but not limited to severe weather, traffic accidents, road closures, or other events of force majeure.
7. PROOF OF DELIVERY
Where signature-on-delivery is selected, delivery is considered complete upon receipt of a signature from any individual present and reasonably appearing authorized to accept the delivery at the specified address. Where signature is not required, delivery is considered complete upon placement of the item at the specified location, which may be confirmed via photo.
8. CANCELLATIONS
You may cancel a scheduled pickup prior to driver dispatch at no charge. Cancellations requested after a driver has been dispatched, or after pickup has occurred, may be subject to a cancellation or partial service fee reflecting work already performed.
9. INDEMNIFICATION
You agree to indemnify and hold harmless ARC LLC, its owners, and employees from any claims, damages, or expenses (including reasonable attorney's fees) arising from your breach of these Terms, your violation of applicable law, or your provision of inaccurate shipment information.
10. GOVERNING LAW
These Terms are governed by the laws of the State of Vermont, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Franklin County/Vermont.
11. CHANGES TO THESE TERMS
We may update these Terms from time to time. The most current version will always be available at www.atlasridgecourier.com/terms-and-conditions. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
